TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all services, engagements, communications, and professional relationships between Sideeq’s Workspace (“Agency”, “We”, “Us”) and any client, contractor, consultant, freelancer, or third party (“You”).
By engaging with Sideeq’s Workspace, making payment, or commencing work, you confirm your acceptance of these Terms.
Scope of Services
Sideeq’s Workspace provides strategic digital services including but not limited to:
• Website development and optimisation
• Google Business Profile (GMB) management
• SEO and content strategy
• Social media strategy and execution
• Paid advertising and digital consulting
All services are professional, customised, and outcome-dependent on timely cooperation, approvals, and information from the client.
Engagement & Commencement
Work shall commence only after:
1. Written approval of scope or proposal
2. Receipt of agreed advance payment
3. Provision of required credentials, data, and access
Delays attributable to the client shall not extend timelines or suspend payment obligations.
Fees, Payments & Refunds
ll fees are payable in advance, unless agreed otherwise in writing.
• Fees for audits, strategy, setup, retainers, and custom work are non-refundable once services have commenced.
• In cases where no services are initiated due solely to the Agency’s fault, refunds (if any) shall be limited to unutilised fees.
• Late payments beyond 7 days may result in service suspension and access revocation.
Intellectual Property Rights
4.1 Agency IP
All pre-existing materials, methodologies, frameworks, processes, SOPs, workflows, templates, pricing structures, and know-how developed by Sideeq’s Workspace remain its exclusive intellectual property.
4.2 Client Deliverables
Upon full payment, the client is granted a limited, non-exclusive, non-transferable license to use final deliverables strictly for their internal business purposes.
4.3 Contractor Assignment
All contractors and freelancers irrevocably assign to Sideeq’s Workspace, under Section 18 of the Copyright Act, 1957, all rights, title, and interest in any work created during engagement, including all present and future rights. Contractors waive all claims except statutory moral rights to the extent permitted by law.
Confidentiality & Data Protection
All non-public information including but not limited to:
• Client data
• Business strategies
• Campaign structures
• Pricing models
• Internal tools, documents, and access credentials
shall be treated as strictly confidential.

No party shall disclose, misuse, or exploit such information except for the purpose of performing obligations under this engagement.
This obligation survives termination.
Non-Solicitation & Non-Circumvention (Legally Enforceable)
6.1 Client & Contractor Restriction
During the engagement and for 12 months after termination, clients and contractors agree not to:
• Directly solicit or engage any client, contractor, or vendor introduced by Sideeq’s Workspace for competing services
• Bypass the Agency to replicate or continue substantially similar services arising from the same project or engagement
6.2. Permitted Conduct
This clause does not restrict:
• Independent business activities unrelated to Agency clients
• General industry competition not involving Agency-introduced relationships
Contractor Status & Fair Trade Compliance
• Contractors are engaged strictly as independent contractors, not employees.
• Nothing herein restricts lawful trade or profession beyond reasonable client-specific protection.
• No contractor is prohibited from earning livelihood through unrelated engagements.
Use of Work & Representations
Contractors and clients shall not:
• Represent themselves as partners or owners of Sideeq’s Workspace
• Use Agency case studies, data, or results for self-promotion without written consent
• Misrepresent Agency affiliation after termination
Termination
Sideeq Workspace may terminate engagement with reasonable notice in cases of:
• Payment default.
• Material breach of these Terms.
• Non-cooperation or misconduct.
• Legal or ethical risk.
Upon termination:
• All unpaid fees become immediately due
• Access to systems and materials is revoked
• No refunds shall apply for services already rendered
Limitation of Liability
Sideeq Workspace shall not be liable for:
• Platform or algorithm changes
• Third-party service disruptions
• Business losses beyond direct fees paid
Maximum liability, if any, shall be limited to fees paid in the preceding 30 days, excluding cases of proven fraud or willful misconduct.
Indemnity
Clients and contractors agree to indemnify and hold harmless Sideeq Workspace from claims, penalties, or losses arising from:
• Client-supplied content
• Legal violations
• Data misuse
• Platform policy breaches
This does not cover liability arising from Agency’s own unlawful acts.
Compliance with Law
All parties agree to comply with:
• Indian Contract Act, 1872
• Information Technology Act, 2000
• Copyright Act, 1957
• Applicable data protection and advertising laws
No clause shall be interpreted to compel illegal conduct.
Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
Exclusive jurisdiction shall lie with courts in Jabalpur, Madhya Pradesh.
Severablity
If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
Acceptance
Engagement, payment, or commencement of work constitutes full acceptance of these Terms.
